Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, client portal pages, and related services operated under the Handysuite name (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle information.

1. Who these Terms apply to

The Services are intended for use by businesses and individuals who provide field or trade services (“Workers”) and their authorized personnel. Certain features require a Worker account. Read-only client portal pages may be opened by anyone who receives a link from a Worker; those recipients are not “users” with accounts, but their access is still subject to Section 5 and applicable law.

2. The Services (description)

Handysuite provides tools for Workers to create and manage job records and to share a read-only web view with selected third parties (for example, a homeowner) using a link issued by the Worker. Features, availability, and limits may change over time. We do not guarantee uninterrupted, error-free, or secure operation, and we may suspend or discontinue parts of the Services for maintenance, security, legal, or business reasons.

3. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. You must be at least the age of majority in your jurisdiction to create an account. You may not create an account if you are barred from using the Services under applicable law.

4. Your content and license to us

You retain rights to content you submit (“Your Content”). You grant Handysuite a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, and display Your Content solely to operate, secure, improve, and support the Services, and as described in our Privacy Policy. You represent that you have all rights necessary to grant this license and that Your Content does not violate law or third-party rights.

5. Client portal links and recipients

Workers who share portal links are solely responsible for choosing recipients and for the sensitivity of information shared. A portal link may allow viewing of information the Worker has chosen to expose. Handysuite does not independently verify recipients. If you are not the intended recipient of a link, do not access or use it; contact the Worker who sent the link.

6. Acceptable use

You agree not to:

  • Violate law or infringe others’ intellectual property, privacy, or publicity rights.
  • Upload malware, attempt unauthorized access, probe, scan, or test vulnerability without permission.
  • Interfere with or disrupt the Services, networks, or security systems.
  • Use the Services to send spam, harassment, or deceptive communications.
  • Scrape, harvest, or collect data from the Services except through documented interfaces we expressly permit.
  • Misrepresent identity, affiliation, or authority.

We may investigate violations and cooperate with law enforcement. We may remove content or suspend access where we reasonably believe it is necessary for legal, security, or integrity reasons.

7. Third-party services

The Services rely on infrastructure and vendors (for example, hosting and database providers). Their services are subject to their terms and policies. We are not responsible for third-party services outside our reasonable control.

8. Fees

If we offer paid plans, fees, taxes, and billing terms will be presented at purchase or in a separate order form. Unless stated otherwise, fees are non-refundable except where required by law.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HANDYSUITE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100) IF NO SUCH PAYMENTS APPLIED.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

11. Indemnity

You will defend, indemnify, and hold harmless Handysuite and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Services, or your violation of law or these Terms, except to the extent caused by our willful misconduct.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security risk. Provisions that by their nature should survive (including Sections 9–11, 13–15) will survive termination.

13. Changes

We may modify the Services or these Terms. If we make material changes, we will provide notice as required by law or post the updated Terms with a new “Last updated” date. Your continued use after the effective date constitutes acceptance of the revised Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Subject to applicable law, exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, USA, and you consent to personal jurisdiction there. Nothing prevents us from seeking injunctive relief in any court of competent jurisdiction.

15. General

These Terms constitute the entire agreement regarding the subject matter here and supersede prior understandings. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
